1. Introduction & Company Information
1.1. Operator: These Terms & Conditions ("Terms") govern the use of the ChainEsport platform (the "Platform") operated by ChainEsport SIA, a company registered in Latvia (Registration No.: 40103449095, LEI: 9845005E8G6A61TC8806) ("we", "us", "our").
1.2. Regulatory Status: ChainEsport SIA is preparing for authorization under the EU Markets in Crypto-Assets Regulation (MiCA) with the relevant Latvian competent authority. We are a skill-based esports software provider and do not operate as a gambling, betting, or lottery operator. Our platform facilitates skill-based competitions, not games of chance.
1.3. Acceptance: By accessing or using the Platform, you ("User", "Player", "Active Node Operator") agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Regulatory Disclaimers (MiCA & Gambling Law)
2.1. Not Financial Advice: Nothing on the Platform constitutes financial, investment, or legal advice. Node Reservations are utility-based software licenses, not securities, equity, or investment contracts.
2.2. No Guaranteed Returns: ChainEsport does not guarantee any financial returns, profits, or revenue share. Operating Compensation to Active Node Operators is dependent on platform activity and is illustrative only. (as per Pitch Deck scenarios).
2.3. Skill-Based Competitions: All competitions on the Platform are skill-based. Outcomes are determined by player performance, reflexes, and strategy, not by chance or random number generation. This distinguishes the Platform from gambling or betting services.
2.4. Not Gambling: The Platform does not facilitate betting, wagering, or gambling. Users are participants in competitions, not bettors forecasting outcomes. The 2% Platform Fee is for software services, infrastructure, and security, not a gambling "rake" or house edge.
2.4. No Proprietary Crypto-Asset Issuance / Payment Medium Disclosure: ChainEsport SIA does not issue, mint, create, or back any proprietary cryptocurrency, token, or coin. All financial flows on the Platform, including competition entry fees, prize pool settlements, Node NFT-STB reservation payments, and Platform service fees, are conducted exclusively using USDC (USD Coin), a third-party regulated stablecoin operating on the BNB Smart Chain. USDC is utilized solely as a technical payment and settlement medium to facilitate seamless user transactions and is not issued, controlled, or guaranteed by ChainEsport. The Platform does not provide banking, payment institution, or e-money services. All USDC flows are executed programmatically via non-custodial smart contracts; ChainEsport does not take custody of user funds, manage private keys, or intermediate settlements. Users retain full responsibility for wallet security, network fees (gas), and compliance with applicable tax and regulatory obligations related to their use of USDC.
3. Eligibility & KYC/AML
3.1. Age Requirement: You must be at least 18 years old to use the Platform.
3.2. Jurisdiction: The Platform is intended solely for residents of the European Union (EU) and European Economic Area (EEA). Users from restricted jurisdictions (including but not limited to the USA, UK, and sanctioned countries) are prohibited.
3.3. KYC/AML Verification: In compliance with EU Anti-Money Laundering Directives (AMLD5/6) and MiCA, all Users must complete Know Your Customer (KYC) and Anti-Money Laundering (AML) verification via our third-party provider (e.g., Didit) before:
• Participating in Competitions
• Reserving Nodes NFT-STB
• Withdrawing funds
3.4. Account Security: You are responsible for maintaining the confidentiality of your wallet credentials and account information. ChainEsport does not hold your private keys.
4. Platform Services: Skill-Based Competitions
4.1. Nature of Service: The Platform provides software infrastructure for skill-based esports competitions (e.g., CS2, FIFA, Valorant, LoL). Outcomes are determined solely by player skill.
4.2. Peer-to-Peer Model: Competitions are created and joined by Users. ChainEsport does not participate as a competitor nor act as a counterparty to any match.There is no "House" edge.
4.3. Competitive Prize Fund: Users may deposit USDC (stablecoin) to form a prize pool. The winner receives the prize pool minus the Platform Service Fee. This is a performance-based reward, not a gambling payout.
4.4. Prohibited Conduct: Users agree not to:
• Engage in cheating, hacking, or using unauthorized software
• Use the Platform for gambling, betting, or wagering on behalf of third parties
• Attempt to manipulate match outcomes
• Act as a third-party bettor forecasting match results
5. Node Infrastructure Reservations (NFT-STB)
5.1. Utility Definition: Node NFT-STBs represent technical infrastructure participation rights. They are utility-based and not securities.
5.2. Supply & Allocation:
• Total Supply: Fixed at 316 Nodes NFT-STB (following strategic optimization/burn of 104 Nodes NFT-STB)
• Public Allocation: 258 Nodes NFT-STB available for reservation
• Internal Allocation: 58 Nodes NFT-STB retained for Team & Ambassadors
5.3. Reservation Price & Phased Pricing Structure:
• The reservation price for Node NFT-STB is set in stages based on network development stages, reservation demand, and deployment phases. The current price for each stage will be clearly published on the official ChainEsport dashboard and platform prior to the start of the relevant stage
• ChainEsport SIA reserves the right, at its sole discretion, to change, adjust, or restructure reservation pricing, phases, stages by notifying users in advance via a platform notification, social media post, or email. Any price or structure changes apply only to future events and cannot retroactively change the price, terms, or rights associated with a Node NFT-STB reservation that has already been fully paid and confirmed. All reservations remain valid in accordance with the principles of utility defined in Section 5.1, the 14-day right of withdrawal provided in Section 6.3, and applicable EU/Latvian consumer protection standards.
5.4. Fee Allocation Model:
• Platform Fee: 2% of each competition entry
• Distribution: 60% to Node Pool (shared across 316 Nodes NFT-STB), 40% to Company Treasury
• Disclaimer: Allocation is dependent on platform activity and is not guaranteed
5.5. Testnet vs. Mainnet:
• Testnet: Upon reservation, Users receive a Testnet Node NFT-STB as proof of allocation and for system testing
• Mainnet: Upon MiCA license approval and Mainnet launch, Testnet reservations will be matched 1:1 with official Mainnet Node NFT-STBs
5.6. Non-Transferable (Soulbound): Node NFT-STBs are Soulbound (non-transferable) and tied to the User's verified identity. They cannot be sold, traded, or transferred on open secondary markets (e.g., OpenSea).
Exception: Transfers may occur via Managed Transfer Protocol requiring bilateral agreement, mandatory KYC of the recipient, and ChainEsport approval.
5.7. Activity Verification (MiCA Compliance): To remain eligible for Operating Compensation, Node Operators must perform activity verification (Heartbeat) via the Platform. Without activity verification, compensation is not awarded, proving service provision, not passive investment.
5.8. Administrative Node Reassignment & Wallet Recovery: Node NFT-STBs are non-transferable utility licenses bound to the verified KYC profile of the Node Operator. Administrative reassignments may only be initiated under exceptional circumstances, including loss of wallet access, death or legal incapacity, court-ordered succession, or voluntary KYC-approved wallet changes. All requests require formal documentation, including but not limited to: police reports, certified death certificates, probate or inheritance rulings, notarized affidavits, and cryptographic proof of ownership for the new wallet. ChainEsport will verify all submissions against active KYC records, perform renewed sanctions screening, and execute reassignments exclusively via the owner-only managedTransfer function. All documentation is processed under GDPR lawful basis (legal obligation & contract performance), encrypted at rest, and retained for a minimum of five (5) years in compliance with AML/CFT and MiCA record-keeping requirements. Reassignments do not constitute secondary market transfers and do not alter the utility-bound, non-speculative nature of the Node NFT-STB. ChainEsport reserves the right to deny requests that lack verifiable documentation, fail compliance screening, or conflict with regulatory obligations.
6. Payments, Fees & Withdrawals
6.1. Currency: All transactions are conducted in USDC on the BNB Smart Chain.
6.2. Platform Fee: ChainEsport charges a 2% Platform Access Fee on competition entry fees for software usage, security, and infrastructure.
6.3. MiCA Withdrawal Right: In accordance with the EU Consumer Rights Directive (2011/83/EU) and MiCA consumer protection standards, retail holders have a period of 14 calendar days to withdraw from their agreement to purchase the NFT-STB reservation without incurring any fees or costs and without being required to give a reason. The 14-day period begins from the date of execution of the Master Agreement.
6.4. Wallet Responsibility: Users are responsible for all wallet fees (gas) associated with transactions.
7. Crypto-Asset Risks (MiCA Disclosure)
7.1. Volatility: While USDC is a stablecoin, crypto-asset markets are volatile. Users acknowledge the risk of value fluctuation.
7.2. Technology Risk: Users acknowledge the risks associated with blockchain technology, including smart contract vulnerabilities, network congestion, and wallet errors.
7.3. Regulatory Risk: Changes in EU or Latvian regulations (including MiCA) may impact the Platform's operations. ChainEsport reserves the right to modify services to maintain compliance.
7.4. Illustrative Scenarios: All financial figures, projections, and outcomes described in Pitch Deck or marketing materials are illustrative scenarios only. They are not guarantees of future revenue, yield, or financial gain.
8. Data Protection (GDPR)
8.1. Privacy Policy: Your personal data is processed in accordance with our Privacy Policy and EU GDPR regulations.
8.2. Data Retention: KYC/AML data is retained for 5+ years as required by Latvian and EU law.
9. Intellectual Property
9.1. ChainEsport Ownership: All content, software, source code, trademarks, logos, and intellectual property created by ChainEsport SIA (including the ChainEsport platform, dashboard, and proprietary technology) are owned by ChainEsport SIA. Unauthorized use of ChainEsport intellectual property is strictly prohibited.
9.2. Third-Party Intellectual Property: The Platform facilitates competitions for various third-party video games (e.g., Counter-Strike 2, FIFA, League of Legends, etc.). All names, titles, logos, assets, and intellectual property related to these third-party games remain the sole property of their respective owners (e.g., Valve, EA, Riot Games). ChainEsport SIA does not claim ownership over these third-party trademarks.
9.3. Fair Use Disclaimer: References to third-party game titles and logos are used solely for identification and descriptive purposes to inform users which games are supported on the Platform. Such use does not imply endorsement, sponsorship, or affiliation with the respective game publishers unless explicitly stated in writing.
9.4. License: Users are granted a limited, non-exclusive, non-transferable license to use the Platform for personal use and participation in Skill-Based Competitions. This license does not permit resale, white-labeling, or commercial exploitation of the Platform software itself.
Node Operators are granted additional rights to operate infrastructure for Operating Compensation as defined in the Node Program Master Agreement.
10. Limitation of Liability
10.1. Service Provided "As Is": The Platform is provided on an "as is" basis without warranties of any kind, express or implied, except where prohibited by applicable Latvian or EU law. ChainEsport does not warrant that the Platform will be uninterrupted, error-free, or secure.
10.2. No Liability: ChainEsport SIA shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or crypto-assets, arising from the use of the Platform. This limitation does not apply to verified Competitive Prize Fund distributions executed by Smart Contract, nor does it exclude liability for gross negligence, fraud, or willful misconduct.
10.3. Third-Party Services: We are not liable for errors or delays caused by third-party providers (e.g., blockchain networks, KYC providers, game servers, wallet providers). Users acknowledge that blockchain transactions are irreversible.
11. Modifications to Terms
11.1. Right to Amend: ChainEsport reserves the right to modify these Terms at any time to comply with regulatory changes (including MiCA or Latvian Law) or to improve platform security.
11.2. Notification: Users will be notified of material changes via email or Platform notice at least 14 days prior to effectiveness. Continued use of the Platform after the effective date constitutes acceptance of modified Terms.
12. Governing Law & Dispute Resolution
12.1. Governing Law: These Terms are governed by the laws of the Republic of Latvia.
12.2. Jurisdiction: Any disputes shall be resolved exclusively in the courts of Riga, Latvia.
12.3. Language: The Latvian version of these Terms shall prevail in case of any discrepancy with the English version.
